Typically Thai shareholders must hold at least 51% (with industry exceptions), and registered capital of 2 million THB is generally required per work permit. BOI-promoted companies can be 100% foreign-owned.
With complete documents, a standard limited company takes about 1-2 weeks, or 2-4 weeks including tax ID and VAT registration. BOI or special licenses take longer.
BOI promotion allows full foreign ownership, corporate tax holidays, and relaxed work permit quotas, but has category, investment, and compliance requirements; a standard company is easier to set up but foreign shareholding is capped.
